Welcome to wallmasterllc.net (the "Site"), operated by Wall Master LLC ("we," "us," or "our"). These Terms & Conditions ("Terms") govern your access to and use of our Site, as well as the terms under which we provide our professional painting services ("Services"). By accessing or using our Site, requesting an estimate, or engaging our Services, you agree to be bound by these Terms and our Privacy Policy. If you don't agree with any part of these Terms, please don't use our Site or Services.

 

1. Definitions

 

  • "Site": Refers to wallmasterllc.net.

  • "Services": Refers to the professional painting services offered by Wall Master LLC, including but not limited to interior painting, exterior painting, residential painting, commercial painting, artistic faux finishes, lime washes, and related preparation work.

  • "Client" or "You": Refers to any individual, company, or entity accessing the Site or engaging Wall Master LLC for Services.

  • "Estimate": Refers to the written proposal provided by Wall Master LLC outlining the scope of work and estimated cost for Services.

 

2. Acceptance of Terms

 

By accessing the Site or engaging Wall Master LLC for Services, you acknowledge that you've read, understood, and agree to be bound by these Terms. If you're entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity to these Terms.

 

3. Website Use (wallmasterllc.net)

 

  • Permitted Use: You can use the Site for lawful purposes only and in accordance with these Terms. Please don't use the Site in any way that violates any applicable local, state, national, or international law or regulation.

  • Prohibited Conduct: You agree not to engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Site, or which, as determined by us, might harm Wall Master LLC or other users or expose them to liability. This includes, but isn't limited to, trying to gain unauthorized access to the Site, interfering with its operation, or transmitting any unlawful, harmful, or offensive content.

  • Intellectual Property: All content on this Site, including text, graphics, logos, images, and software, is the property of Wall Master LLC or its content suppliers and is protected by intellectual property laws. You can't reproduce, distribute, modify, or create derivative works from any content on this Site without our express written permission.

 

4. Terms & Conditions for Services

 

The following terms apply specifically to the painting Services provided by Wall Master LLC:

  • 4.1. Estimate Inclusions: Your written Estimate includes all labor and materials (such as paint, primers, tape, drop cloths, etc.) required to complete the specific scope of work outlined in that Estimate document. Items not explicitly listed are excluded.

  • 4.2. Estimate Validity: The quoted price in your Estimate is valid for 30 days from the date the Estimate was issued. After this period, the price might be adjusted due to any increases in material costs, labor rates, or other operational expenses.

  • 4.3. Payment Schedule:

    • A 45% deposit is required prior to the start of any work. We'll schedule the project start date only after we've received this deposit.

    • The remaining balance of 55% is due upon satisfactory completion of the work. "Satisfactory completion" means the work has been completed to industry standards as set forth by the Painting Contractors Association (PCA).

  • 4.4. Property Preparation:

    • As the Client, you're solely responsible for removing any items of significant value, irreplaceable items, highly fragile items, or personal effects (e.g., valuable artwork, electronics, delicate heirlooms, cash, jewelry) from the work area before our team arrives.

    • Our team will take reasonable care to move and cover all other non-fixed items (e.g., furniture, larger decor) within the immediate work area to protect them during the painting process.

    • The Client should also ensure clear and safe access to all work areas.

  • 4.5. Project Duration: We anticipate this project will take approximately 7-8 days under normal drying conditions and a standard work environment. Please note that this is an estimate, and actual completion time may vary due to unforeseen conditions or changes.

  • 4.6. Late Payments: Any balance that remains past due beyond the agreed-upon due date will be charged a late fee of 0.8% per month (equivalent to 9.6% per annum) on the outstanding balance until the full amount is paid.

  • 4.7. Change Orders & Additions:

    • Any changes, additions, or modifications to the original scope of work detailed in the Estimate must be formally requested by the Client and mutually agreed upon in writing by both the Client and Wall Master LLC.

    • Such changes will be billed separately from the original Estimate and may impact the overall project timeline. Work on changes won't begin until we receive the written agreement and any additional deposit required for the change order.

 

5. General Client Responsibilities (for Services)

 

In addition to Section 4, as our Client, you agree to:

  • Provide accurate and complete information regarding the project scope, desired outcomes, and any specific concerns.

  • Ensure reasonable and safe access to the work area during agreed-upon working hours.

  • Address any pre-existing conditions (e.g., significant structural damage, major water leaks, active mold) in the work area that might hinder or compromise the painting process before our arrival, unless we've specifically agreed to handle them in the Estimate.

  • Provide necessary utilities (e.g., electricity, water) for the duration of the project.

  • Review and approve completed work promptly to facilitate the final inspection and payment.

 

6. Disclaimer of Warranties

 

  • Website: We provide the Site on an "as is" and "as available" basis. Wall Master LLC makes no representations or warranties of any kind, express or implied, about the operation of the Site or the information, content, or materials included on it.

  • Services: While we strive for excellence and adhere to PCA standards, we disclaim all implied warranties, including but not limited to, implied warranties of merchantability and fitness for a particular purpose, to the fullest extent allowed by law. Wall Master LLC doesn't guarantee specific results beyond industry standards due to variables like substrate condition, existing paint, and environmental factors.

 

7. Limitation of Liability

 

To the fullest extent permitted by applicable law, Wall Master LLC won't be liable for any damages of any kind arising from the use of this Site or our Services. This includes, but isn't limited to, direct, indirect, incidental, punitive, and consequential damages, lost profits, or business interruption, unless the law specifically requires otherwise. Our total liability to you for any damages won't exceed the amount you paid, if any, for accessing our Services or Site.

 

8. Indemnification

 

You agree to indemnify, defend, and hold harmless Wall Master LLC, its officers, directors, employees, agents, and affiliates, from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) that such parties may incur as a result of or arising from your (or anyone using your account's) violation of these Terms or your use of the Services or Site.

 

9. Governing Law & Jurisdiction

 

These Terms are governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in Franklin Farm, Virginia, United States.

 

10. Dispute Resolution

 

If any dispute or claim arises out of or relating to these Terms or the Services, both parties agree to first try to resolve it through good faith negotiation. If a resolution can't be reached through negotiation, the parties agree to consider mediation or other mutually agreed-upon alternative dispute resolution methods before pursuing litigation.

 

11. Changes to Terms

 

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If we make a material revision, we'll provide at least 30 days' notice before the new terms take effect (e.g., by posting on the Site or direct communication). We'll determine what constitutes a material change at our sole discretion. Your continued use of the Site or our Services after any such changes means you accept the new Terms.

 

12. Severability

 

If any part of these Terms is found to be unenforceable or invalid under any applicable law, that unenforceability or invalidity won't make these Terms as a whole unenforceable or invalid. The invalid provision will be removed without affecting the remaining provisions.

 

13. Entire Agreement

 

These Terms, along with our Privacy Policy and any specific written and signed service agreements or estimates, make up the entire agreement between you and Wall Master LLC regarding your use of the Site and our Services, superseding any prior agreements or understandings.
